These Terms of Service ("Terms") govern your access to and use of the Copper & Dial CRM platform and related services ("Service") operated by Copper & Dial LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
The Service is designed for legitimate business communications, including lead management, appointment scheduling, customer relationship management, and related business activities. You agree to use the Service only for lawful purposes and in accordance with these Terms.
When using the Service to send text messages, make phone calls, or send emails, you agree to:
You are solely responsible for ensuring compliance with all applicable communications laws. We reserve the right to suspend or terminate your account if we believe you are violating these requirements.
You retain ownership of all data you input into the Service, including lead information, contact details, communication records, and business data. We do not claim ownership of your data. Upon termination of your account, you may request an export of your data.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.
Access to the Service requires payment of applicable fees as outlined in your service agreement. Fees are billed monthly and are due upon receipt. We reserve the right to modify our pricing with 30 days' written notice. All fees are non-refundable except as required by law.
The Service integrates with third-party providers including Twilio (voice and messaging), email service providers, and other tools. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the performance or policies of third-party services.

To the maximum extent permitted by law, Copper & Dial LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
You agree to indemnify and hold harmless Copper & Dial LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws, including communications compliance regulations.
Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate your account immediately if you violate these Terms or engage in prohibited activities. Upon termination, your access to the Service will cease, and you may request an export of your data within 30 days.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Arapahoe County, Colorado.
